Zhumu Video Communication Cloud Service Software License and Service Agreement

Welcome to the use of Zhumu Video Communications cloud services!

Suirui Technology Group Co., Ltd. (hereinafter referred to as "Suirui") hereby reminds users to carefully read and comply with the "Zhumu Video Communications Cloud Service Software License and Service Agreement" (hereinafter referred to as "this Agreement").

Before using the Zhumu Video Communications cloud services (hereinafter referred to as "the Service"), you should carefully read and fully understand the terms of this Agreement, especially the clauses regarding exemption or limitation of liability, dispute resolution, and applicable law. You may use the Zhumu Video Communications cloud service software (hereinafter referred to as "Zhumu") and related services only after carefully reading and agreeing to this Agreement. Otherwise, you may not use this Service. Your download, installation, use, acquisition of a Zhumu Video Communications cloud service management account and Zhumu Video Communications cloud service end-user account (hereinafter referred to as "Zhumu Account"), and login are deemed as your reading and agreeing to this Agreement. If you are a minor, you should read this Agreement with the accompaniment of a legal guardian.

 

1.Agreement and Applicable Scope

1.1 This agreement is between you and Suirui regarding your use of the Zhumu related services. This agreement applies to the entire process of downloading, installing, registering, logging in, and using this software. "Suirui" refers to Suirui company and its related service-related entities. "Zhumu User" refers to an individual or organization that registers, logs in, and uses the Zhumu software and services, referred to as "user" or "you" in this agreement.

1.2 This agreement includes the "Zhumu Privacy Policy," any relevant agreements or business rules that Suirui may publish from time to time, and any separate agreements you enter into when ordering value-added services. Once formally published, the above content becomes an integral part of this agreement, and users must also comply with it.

1.3 In order to optimize product services and improve your product experience, Suirui may modify or adjust the provided fee-based services, fees, payment methods, service fees, and service terms as needed. Suirui will make every effort to notify you of these changes or modifications through your reserved phone, email, or other means. If you refuse to pay these fees, you will not be able to continue using the relevant services after the start of the charging period.

2.Content of the Service

2.1 Service Content 

The service content of this agreement refers to the Zhumu video communication cloud service (hereinafter referred to as "Zhumu") provided by Suirui to you. Zhumu is a video communication cloud service software product that provides users with adaptive network, high-definition audio and video communication interaction (supports up to 10,000 participants), scheduled meetings, document sharing, multi-platform interoperability, meeting recording, text chat during meetings, enterprise IM, dual-stream dual-screen and other functional services. In addition, Zhumu also supports the access of PSTN voice and traditional H.323/SIP devices, provides mobile SDK, and provides API for third-party integrated application services. The services provided by Zhumu include free version services and paid version services (Zhumu professional edition, enterprise edition, etc.). Users can use some or all of the above-mentioned functional service content of Zhumu according to the type of service version they have registered/purchased. You can use Zhumu free version service for free after completing the registration, and you can also purchase paid version services through WeChat Pay, Alipay, and other payment methods. You can only use the paid version services after confirming and agreeing to pay the fees according to the prompts and completing the payment behavior. Please understand and confirm the service content, price and other matters in detail according to the guidance on the operation page when you register for the free version service or purchase the paid version service. The related rights and interests obtained after purchase cannot be transferred to third parties. If you are a minor, you need to obtain the consent of your guardian before making a purchase.

In particular, if you install and log in to Zhumu for the first time on any device, Zhumu will activate the screen sharing (document sharing) function service for you within a maximum of 24 hours after you log in to the device for the first time, except for free version services.
2.2 Obtaining the Service 

2.2.1 To use the service, you need to register for a Zhumu account and download the Zhumu software client. Suirui will provide services such as Zhumu account, function use and instructions, and ensure the normal operation of the service.

2.2.2 The Zhumu software client is available in multiple versions, including but not limited to Windows, Mac, iOS, and Android. You should choose the software version that matches the terminal device you are using. If you have registered to use one version of the service, you can use other application versions of the service with the same account.

2.2.3 You should download and install Zhumu through the website or method designated by Suirui. Be careful not to download this software from any unauthorized third-party website, as it may contain malicious programs that can damage user data or obtain user privacy information. Suirui is not responsible for any losses caused by unauthorized third-party software or similarly named installation programs that have not been authorized by Suirui.

2.2.4 After downloading and installing the program, you need to follow the steps prompted by the program to install it correctly.

2.2.5 If you no longer need to use the software or need to install a new version of the software, you can uninstall it yourself.

2.2.6 In order to improve the user experience and improve service content, Suirui has the right to provide you with software replacement, modification, and upgrade versions from time to time. You understand and agree that after the new version of the software is released, Suirui does not guarantee that the old version of the software and/or functions will continue to be available, so you should always check and download the latest version.

2.2.7 Suirui may notify users of software updates through announcements, update logs, etc., but Suirui is not required to notify users individually.

3.Software License for the Service

3.1 Suirui grants you a non-transferable and non-exclusive right to use the Suirui software, but Suirui reserves the right to revoke this authorization in any necessary situation.

3.2 You may install, use and run the software on your terminal device for non-commercial purposes. However, unless you have obtained special authorization, you may not compile, reverse engineer or transfer the Suirui software program in any form.

3.3 All other rights not expressly authorized by this provision or other provisions of this Agreement are reserved by Suirui. If you exercise any of these rights, you must obtain Suirui's written permission separately. Suirui's failure to exercise any of the foregoing rights does not constitute a waiver of that right.

4.Service Usage Regulations 

4.1 Account Regulations

4.1.1 After you have completed all registration procedures by filling in the information as prompted on the registration page, reading and agreeing to this agreement, you can obtain a Zhumu account and become a Zhumu user.

4.1.2 When you register as a Zhumu user, you should be a natural person, legal person or other organization with full capacity for civil rights and the ability to engage in civil actions that are appropriate to your activities. If you do not have the civil capacity that is appropriate for user actions, you should follow the guidance of your guardian to carry out the corresponding operation. You and your guardian should bear all consequences caused by this in accordance with the law.

4.1.3 Before applying to use the Zhumu service, you must undergo real-name authentication in accordance with legal requirements and relevant policies. You need to provide necessary true and accurate personal or corporate information to Suirui to complete real-name authentication. If there is any change in your personal information, you must actively update it in a timely manner. In order to safeguard your and other users' interests, Suirui has the right to verify the relevant materials submitted by users (such as copies of the natural person's ID card, copies of the enterprise legal person business license, copies of the legal person certificate of the public institution, company official statements/explanations, etc.) before deciding whether to approve the registration application. If the submitted materials or information are incomplete or inaccurate, you will not be able to use this service or may be restricted during use. To ensure account security, you agree and authorize Suirui to initiate queries with telecommunications operators and other units based on the real-name information provided by you (including but not limited to mobile phone numbers) regarding the authenticity of your identity and the validity status of your mobile phone number.

4.1.4 According to the provisions of the "Regulations on the Governance of Network Information Content Ecology," your account information must not violate national laws, regulations, administrative regulations, policies, and social morality requirements. Specifically, your account information must not have the following characteristics:

(1) Violating Article 6 and Article 7 of the "Regulations on the Governance of Network Information Content Ecology";

(2) Impersonating or counterfeiting the names, logos, etc., of political parties, government and military agencies, enterprises and institutions, people's groups, and social organizations;

(3) Impersonating or counterfeiting the names, logos, etc., of countries (regions) and international organizations;

(4) Impersonating or counterfeiting the names, logos, etc., of news websites, newspapers and magazines, radio and television institutions, news agencies, or using names, logos, etc., with news attributes such as "news" and "report" without authorization;

(5) Impersonating or counterfeiting geographic names, logos, etc., of important spaces such as the location of national administrative regions, institutions, and landmark buildings, or maliciously associating them;

(6) Intentionally including QR codes, website addresses, email addresses, contact information, etc., with the purpose of harming public interests or seeking undue benefits, or using words, numbers, symbols, and letters that sound alike, homophones, or are similar;

(7) Containing content that may deceive or mislead the public, such as false names or exaggerated claims;

(8) Containing other content prohibited by laws, administrative regulations, and relevant state regulations.

If there is evidence or reason to believe that you have engaged in improper registration, Zhumu has the right to refuse registration, suspend use, freeze or close the account, and refuse to provide services. If you cause losses to Zhumu or related parties, you shall also bear compensation liability.

4.1.5 You should set and keep your Zhumu account and password secure. Zhumu will not be responsible for any losses or consequences caused by your voluntary disclosure or by attacks or fraud by others.

4.1.6 Your Zhumu account is for your personal (or institutional) use only. You are prohibited from giving, lending, renting, or selling your Zhumu account. You are responsible for all actions taken under your Zhumu account, including any content posted and any consequences arising therefrom.

4.1.7 Unless otherwise stipulated by laws and regulations or approved by Zhumu in accordance with its rules, you may not transfer your account in any way. Otherwise, Zhumu has the right to refuse to provide services to you and the account, and you shall bear all liabilities arising therefrom.

4.1.8 Zhumu reserves the right to recover inactive accounts. After the inactive accounts are recovered, they cannot log in to the Zhumu software, and the corresponding services will be terminated. Inactive accounts include but are not limited to: accounts that refuse to authenticate their real names in accordance with legal requirements and relevant policies, and accounts that have not been logged in for six consecutive months.

4.2 Information Content Standards

4.2.1 Information content refers to any content you create, copy, publish, or distribute during your use of Zhumu software and services, including but not limited to your Zhumu account avatar, name, user description, or text, voice, image, or other content uploaded, sent, replied, announced, or related links and pages generated through the use of your Zhumu account and services.

4.2.2 You shall not use your Zhumu account or software and services to create, copy, publish, or distribute any content that violates laws and regulations, disrupts the normal operation of Zhumu software, or infringes on the legal rights and interests of other users or third parties, including but not limited to:

4.2.2.1 Publishing, transmitting, disseminating, or storing content that violates national laws and regulations, including but not limited to:

(1) Opposing the fundamental principles established in the Constitution;

(2) Endangering national security, leaking state secrets, subverting state power, or undermining national unity;

(3) Damaging national honor and interests;

(4) Distorting, vilifying, profaning, or denying the deeds and spirit of heroes and martyrs, insulting or defaming the names, portraits, honors, and reputations of heroes and martyrs;

(5) Promoting terrorism, extremism, or inciting terrorism or extremism activities;

(6) Inciting ethnic hatred or discrimination, and undermining national unity;

(7) Undermining the state's religious policies, promoting cults and feudal superstitions;

(8) Spreading rumors, disrupting economic and social order;

(9) Spreading obscene, pornographic, gambling, violent, murderous, terrorist, or inciting criminal content;

(10) Insulting or defaming others, infringing on their reputation, privacy, and other legal rights and interests;

(11) Other content prohibited by laws and administrative regulations.

4.2.2.2 Any information that infringes on the privacy, personal information, or commercial secrets of others;

4.2.2.3 Publishing, transmitting, disseminating harassing, advertising, overly marketing, spam or any information containing any sexual or suggestive content; 

4.2.2.4 Other information that violates laws and regulations, policies and public order, social morality or disrupts the normal operation of Zhumu and infringes on the legal rights and interests of other users or third parties.

4.2.3 Under no circumstances should you trust requests for loans, password requests, screen sharing for transfer operations, or any other property-related online information. For property-related operations, please verify the identity of the other party first to avoid property losses.

4.3 User Rules of Reasonable Use

Unless permitted by law or authorized in writing by Suirui, you shall not engage in the following activities during your use of the Service:

(1) Inducing other users to click on links or share information;

(2) Fabricating facts, concealing the truth to mislead or deceive others;

(3) Utilizing any functions of the Service for promotion or mutual promotion without written permission from Suirui;

(4) Using the Suirui software and services to engage in any illegal or criminal activities;

(5) Creating, publishing, or disseminating methods or tools related to the above activities, whether for commercial purposes or not;

(6) Engaging in other activities that violate laws and regulations, are inconsistent with national regulatory policies, infringe upon the legitimate rights and interests of other users, interfere with the normal operation of the product, or are not expressly authorized by Suirui.

4.4 Rules of License Use for Software

Unless permitted by law or authorized in writing by Suirui, you shall not engage in the following activities during your use of the Software:

(1) Deleting information regarding copyright on the Software and its copies;

(2) Reverse engineering, reverse assembly, reverse compilation of the Software, or attempting to discover the source code of the Software in any other way;

(3) Using, renting, lending, copying, modifying, linking, reprinting, compiling, publishing, establishing mirror sites or otherwise using the contents of Suirui's intellectual property;

(4) Copying, modifying, adding, deleting, attaching to, or creating any derivative works of the data released to any terminal memory during the software operation, the interaction data between the client and the server during the software operation, and the system data necessary for the software operation, including but not limited to accessing the software and related systems with plugins, plug-ins, or unauthorized third-party tools/services;

(5) Modifying or forging instructions or data in the software operation, adding, deleting, or changing the functions or effects of the software, or operating or disseminating software or methods used for the above purposes, whether for commercial purposes or not;

(6) Logging in or using the Suirui software and services through third-party software, plugins, plug-ins, or systems not developed or authorized by Suirui, or creating, publishing, or disseminating such tools;

(7) Interfering with the software and its components, modules, and data by yourself or authorizing others or third-party software;

(8) Engaging in other activities not expressly authorized by Suirui.

4.5 Violation Identification and Processing

4.5.1 If Suirui discovers or receives a report or complaint from others that you have violated the provisions of this Agreement, Suirui has the right to delete or block relevant content at any time without notice, and depending on the severity of the offense, impose penalties including but not limited to warning, restricting or prohibiting the use of some or all functions, account suspension, or cancellation, and publicize the processing results.

4.5.2 You understand and agree that Suirui has the right to impose penalties on suspected violations of relevant laws and regulations or the provisions of this Agreement based on reasonable judgment, take appropriate legal measures against any illegal or non-compliant users, and save related information and report to relevant departments in accordance with laws and regulations. You shall bear all legal responsibilities arising from this.

4.5.3You understand and agree that you shall be solely liable for any claims, demands or losses claimed by third parties arising out of your breach of this Agreement or the relevant Terms of Service; If Suirui suffer any loss as a result, you shall also compensate for it.    

4.6 User Notes

4.6.1 You understand and agree that in order to provide you with effective services, you need to configure terminal equipment, network, and other resources yourself. The use of this software may incur data traffic fees, and you need to inquire about the relevant tariff information from the operator and bear the related costs yourself.

4.6.2 When you use this software or request specific services from Suirui, this software may call third-party systems or support your use or access through third-party systems. When you use products or services provided by third parties, there may be relevant agreements or rules that you should carefully read and comply with. If the result of the use or access is provided by the third party, Suirui does not guarantee the security, accuracy, effectiveness, and other uncertain risks of the services and content provided by third parties. Any disputes and damages caused by this should be directly addressed to the third party, and Suirui will not be held responsible. However, if necessary, Suirui will provide necessary assistance in accordance with the law.

4.6.3 You understand and agree that if you purchase the paid version of the service, the product is a digitally downloaded virtual product. The paid version of the service does not support returns or refunds without reason, and you should fully try the free version of the service before purchasing.

4.7 Zhumu API

If you are using the Zhumu API service, please continue reading this section. If you are not using the Zhumu API feature, you may skip this section and continue reading.

4.7.1 Suirui provides various services (hereinafter referred to as "developer services") to develop the Notable function on the Notable platform. You should independently develop according to this agreement, developer documentation, and other specifications and technical requirements. You are solely responsible for the content produced using the developer services. If Suirui or third parties suffer losses due to your actions, you shall compensate for such losses.

4.7.2 Without Suirui's permission, you may not use the developer services for any other purpose or use them in any way, nor may you delegate, authorize or disclose them to any third party for any use.

4.7.3 During the development process using the developer services, you should comply with the explicit requirements in the Notable development documentation, as well as relevant laws, regulations, technical specifications, standards, and Suirui's requirements in terms of technology and security to ensure the secure and stable operation of the relevant Notable account. The normative use of this agreement includes the terms of this agreement, relevant Notable development documentation, and other developer documentation for corresponding interfaces. You should comply with these specifications when using the developer services; otherwise, Suirui has the right to take measures under this agreement.

4.7.4 During the use of the developer services, you may not engage in the following behaviors or facilitate them. Such behaviors include but are not limited to:

4.7.4.1 Using the Notable URL address or other technical interfaces outside of this service without obtaining permission from Suirui.

4.7.4.2 Providing proxy authentication credentials to automatically log in to Notable for any other user.

4.7.4.3 Infringing on the legitimate rights and interests of others, including but not limited to intellectual property rights such as copyrights, trademarks, patents, and other related rights.

4.7.4.4 Other behaviors or content that Suirui deems inappropriate.

4.7.5 When providing services to other users through the use of the developer services, you must meet the following requirements for collecting, storing, and using other users' or end-users' data:

4.7.5.1 You must obtain explicit consent from other users or end-users in advance and only collect necessary user data for the purpose of operation and function implementation. You must inform other users or end-users of the purpose, scope, and method of data collection to ensure their right to be informed and choose.

4.7.5.2 You must take necessary protection measures to prevent user data from being stolen, leaked, or otherwise compromised.

4.7.5.3 Once you stop using the developer services or Suirui terminates your use of the developer services for any reason, you must immediately delete all data obtained through the service (including various backups), and you may not use it in any way.

4.7.5.4 You should take reasonable and secure technical measures to ensure the security of various data and information obtained through the developer services, and you shall be fully responsible for the consequences of your actions (including but not limited to self-installation of software, encryption measures, or other security measures).

5.Personal Information Protection:

5.1 In order to provide you with services, you understand and agree that while using this software, Zhumu will handle your personal information in accordance with this Agreement and the "Zhumu Privacy Policy". Protecting your personal information is a basic principle of Zhumu. Except as provided by laws and regulations, Zhumu will not disclose your personal information to any third-party companies, organizations, or individuals without your permission. The Zhumu Privacy Policy provides information related to the data collected by Zhumu and the way it is used.

5.2 Zhumu will use various security technologies and procedures to protect your personal information from unauthorized access, use, or disclosure. However, Zhumu will not be responsible for any information leakage caused by factors beyond its control.

5.3 If the user is a child under the age of 14, when using Zhumu, they should read and agree to this Agreement and the Zhumu Privacy Policy with the accompaniment of their legal guardian, especially when purchasing the paid version service.

6.Service Risks and Disclaimer

6.1 You fully understand and agree that you are responsible for all actions you take when using this software and service, including any content you publish and any consequences that may arise from it. Zhumu only provides video communication cloud services, and you should judge the behavior and content you conduct through this service on your own and assume all risks caused by improper use, including the risks caused by relying on the correctness, completeness, or practicality of communication content. Zhumu cannot and will not be responsible for any loss or damage caused by the above-mentioned risks.

6.2 You fully understand and agree that Zhumu has the right to be exempted from liability and not assume any responsibility in the following cases:

(1) If you violate laws, regulations, national regulatory policies, or social ethics during the use of Zhumu, Zhumu has the right to take measures including but not limited to freezing or blocking your account.

(2) Issues related to technology and information security, effectiveness, accuracy, and reliability caused by existing technology limitations.

(3) Any personal injury, incidental or indirect economic loss or damage compensation, including but not limited to loss of profits, loss of data, damage compensation caused by business interruption or other business damage compensation or loss;

(4) Third parties may copy, reproduce, modify, or use the content you publish during the use of this video communication service based on the openness of the Internet;

(5) You assume the responsibility for any loss or damage caused by your use or reliance on any content, information, recommendations, or views published or transmitted by other users on the Zhumu platform, and Zhumu assumes no warranty responsibility.

6.3 Like most Internet software, this software may be affected by various force majeure factors, including but not limited to network service quality, social environment, and network security issues such as hacker attacks or other malicious programs contained in other software downloaded or other websites accessed by users, which may threaten the information and data security of your terminal devices and affect the normal use of this software. You understand and agree that Zhumu is not responsible for this.

6.4 Please do not disclose any important information related to user property, service accounts, and passwords to other users when using Zhumu. Be cautious when performing financial operations such as bank transfers while using the screen sharing feature or disclosing your information to any third party in any other way.

6.5 If you discover any situation/event during the process of registering and using this software service that may affect network security and your product experience, please inform us (customer service hotline: 400-010-6088). However, under no circumstances should you attempt to verify any vulnerabilities of this software service.

7.Intellectual Property Rights

7.1 Suirui is the intellectual property rights owner of this software. All intellectual property rights related to this software, including but not limited to copyright, trademark, patent, trade secrets, and all information content related to this software (including but not limited to text, images, audio, video, charts, interface design, layout framework, related data or electronic documents, etc.) are protected by the laws and regulations of the People's Republic of China and relevant international treaties, and Suirui enjoys the aforementioned intellectual property rights, except for the rights that should be enjoyed by relevant rights holders according to legal provisions.

7.2 Without the written consent of Suirui or relevant rights holders, you may not implement, utilize, or transfer the aforementioned intellectual property rights for any commercial or non-commercial purposes on your own or through third-party licensing.

7.3 The intellectual property rights of the information such as text, images, audio, and video that you upload and publish while using the Zhumu service belong to the users, and the responsibility is borne by the users. However, the user's act of publishing and uploading is non-exclusive and permanently authorized to Suirui to use, copy, spread, and display such content.

8. Notices

8.1 Suirui will send various types of notifications under this Agreement to you according to the actual situation, including but not limited to the email address or mobile phone number reserved by the user, Zhumu website announcement, application message, public account notification, regular letter delivery, or one or more of other methods allowed by law. You agree and understand that the notification under this Agreement will be deemed to have been delivered to the user on the day of sending.

8.2 To facilitate your receipt and understanding of relevant notifications, you should ensure that the reserved contact information is correct and valid, and log in to Zhumu or contact Zhumu customer service for modification in a timely manner after any changes. If you fail to provide correct contact information or fail to inform new contact information in time, and as a result, you cannot receive notifications in a timely manner, you shall bear the losses and legal consequences arising therefrom. At the same time, if you refuse or block notifications through means such as unsubscribe or active blocking, you may not receive the aforementioned notifications, and you shall bear the losses and legal consequences arising therefrom.

9.Applicable Law and Dispute Resolution 

9.1 The interpretation, effectiveness, and dispute resolution of this Agreement are governed by the laws of the People's Republic of China.

9.2 If there is any dispute or controversy between the user and Suirui, it shall be resolved through friendly negotiation first. If the negotiation fails, the user fully agrees to submit the dispute or controversy to the court with jurisdiction over the place where this Agreement is signed for litigation resolution.

10.Other Terms

10.1 Integrity of the Agreement: This Agreement, as well as the usage agreement and licensing terms of third-party authorized software or technology, together constitute the complete agreement of this "software" and its support services.

10.2 If any clause of this Agreement is partially or completely invalid, it does not affect the validity of other clauses.

10.3 All titles of this Agreement are only for the purpose of highlighting and reading convenience, and do not have any actual meaning, and cannot be used as a basis for interpreting the meaning of this Agreement.
